Job Details: Director – Legal Affair (major Rail Organisation),

REPORTS TO: CEO

DIRECT REPORTS:

Legal Counsel, Legal Secretary, Executive Secretary, Legal Researcher

OVERVIEW:

Lead, direct and manage QRC's legal  function and act as the company's legal guardian, advisor and monitoring officer, being accountable for regulatory compliance of all QRC activities. Provide legal counsel to management and department heads and represent QRC in legal procedures to protect its interests.

PRIMARY FUNCTIONS:

• Develop and implement appropriate strategies, policies and practices that enable QRC to meet its business objectives, remaining legally compliant
• Participate in overall QRC strategy meetings to provide inputs from a legal standpoint and ensure strategy compliance to legal requirements.
• Study business environment and government regulations in the sector.
• Study detailed business plans related to expansions, joint ventures, mergers and acquisitions and business partnerships etc.
• Develop organizational policies and processes for consistency with applicable laws and regulatory requirements.
• Set up system for monitoring and managing adherence to policies and laws.
• Ensure comprehensive communication and training to all user departments to ensure awareness of legal rights and obligations under the various laws and guidelines applicable to the employees' functions and roles.
• Assist the top management in interpreting situations that warrant legal involvement arising out of the policies.
• Interpret legal & regulatory documentation in the context of QRC's business and advise the executive management on corporate structuring activities.
• Maintain awareness of government policies and policy changes, and represent QRC in industry forums.
• Guide contracts team to provide effective and efficient contracts support for smooth execution of project sites.
• Review MOU and contracts with client, business partners, investors, clients and vendors.
• Engage third party legal firms and consultants to represent QRC in courts of law.
• Oversee legal action on behalf of QRC in cases of legal disputes with clients, partners, competitors and employees.

QUALIFICATIONS/EXPERIENCE:

• Degree in Law with specialisation in corporate legal matters.
• Postgraduate Legal Practice Course or equivalent.
• Minimum 25 years of experience in the corporate legal environment, focusing on commercial and corporate law.

SPECIFIC SKILLS AND KNOWLEDGE:

• Expert knowledge of Company Law, Labor Law, Contracts Law
• Expert understanding of Construction sector laws in GCC and globally
• Tendering, bidding and contracting (and contract administration)
• Awareness of laws governing Mergers & Acquisitions and Joint Ventures globally
